Metrognome Membership Terms of Agreement
Version 2.4.0 — Effective Date: January 2026
This Membership Terms of Agreement ("Agreement") is entered into between Metrognome, LLC ("Metrognome," "we," "us," or "our") and you, the individual or entity creating an account or purchasing services ("Member" or "Primary Member").
This Agreement governs all Metrognome memberships, including Monthly Memberships, Hourly Memberships, and related services, and is effective upon account creation, booking, or purchase of any service.
1. Definitions
- Primary Member: The individual with a verified identity and phone number who controls the Metrognome account.
- Member: Any individual using Metrognome services under a Primary Member's account.
- Monthly Membership: A month-to-month subscription granting exclusive access to a designated Artist Studio.
- Hourly Membership: An ongoing account relationship permitting Members to book Hourly Studios on a pay-per-use basis.
- Artist Studio: A private studio assigned exclusively to a Monthly Member.
- Hourly Studio: A non-exclusive studio available for time-limited hourly Sessions.
- Session: A specific block of time reserved for use of an Hourly Studio.
- Credits: Promotional booking credits governed exclusively by Exhibit B.
2. Member Services (General)
Member Services vary by Membership type. Certain services apply only to Monthly Memberships or Hourly Memberships as described in this Agreement and applicable Exhibits.
Metrognome reserves the right to modify, add, or remove services at any time.
3. Business Hours & Access
Facility access and studio availability vary by location and service type.
- Monthly Members may have 24/7 access where applicable.
- Hourly Studios are available only during published booking hours shown in the online reservation system.
- General Business Hours do not guarantee Hourly Studio availability.
4. Account Requirements & Communications
Members must maintain accurate legal name and contact information.
By creating an account, Members consent to receive transactional communications (including SMS) related to bookings, access, and account activity.
5. Membership Fees & Payments
5.1 Monthly Memberships
- Month-to-month subscription
- Fees due on the 1st of each month
- Late fees apply after the 5th
5.2 Hourly Memberships
- No fixed term
- Each Session is a stand-alone, revocable license
- Payment required in advance at booking
- Governed exclusively by Exhibit B
6. No Refunds (General)
Except as expressly stated for Hourly Studio cancellations in Exhibit B, all payments are non-refundable.
7. House Rules (All Members)
All Members must comply with posted rules, including but not limited to:
- No illegal activity
- No overnight sleeping
- No hazardous materials
- No smoking or open flames
- Compliance with occupancy limits
- Respect for other Members
Additional Hourly-specific rules are set forth in Exhibit B.
8. Monthly Membership–Specific Terms
The following provisions apply only to Monthly Memberships:
- Exclusive use of an Artist Studio
- On-site storage of equipment
- Studio inspections
- Suspension procedures
- Default, abandonment, and lien rights
These provisions do not apply to Hourly Studios.
9. Insurance & Risk
Metrognome does not insure Member property.
- Safestor Insurance is offered only to Monthly Members
- Hourly Members receive no insurance coverage
- All property is stored or brought onsite at the Member's sole risk
10. Termination & Right to Refuse
Metrognome may terminate or restrict any Membership or account at its discretion.
- Monthly Memberships require 30-day written notice to terminate
- Hourly Membership accounts may be terminated immediately without notice
11. Limitation of Liability & Indemnification
Members agree to indemnify and hold Metrognome harmless from all claims arising from use of the Facility, including those caused by the Member or their guests.
12. Class Action Waiver
All disputes must be resolved on an individual basis. Class actions and representative proceedings are waived to the fullest extent permitted by law.
13. Governing Law
This Agreement is governed by the laws of the State of Oregon.
14. Entire Agreement
This Agreement, including all Exhibits, constitutes the entire agreement between the parties.
Exhibit B: Hourly Membership Terms
(This Exhibit governs all Hourly Studios, Sessions, and Credits.)
B1. Hourly Membership & License
Hourly Memberships grant a limited, revocable license to use an Hourly Studio during a booked Session. No lease, tenancy, or bailment is created.
B2. Bookings & Access
- Bookings made online only
- Same-day bookings permitted
- Minimum Session: 1 hour
- Building access begins 15 minutes before Session
- Studio access begins and ends exactly at booked times
- Setup, breakdown, cleanup, and exit are included in Session time
B3. Overstays & No-Shows
- Overstays are billable and subject to penalties starting at $25
- Three-strike policy applies
- No-shows are non-refundable
- Repeated violations may result in account restriction
B4. Equipment Use & Damage
Hourly Members are responsible for all damage beyond normal wear and tear.
Metrognome may charge full replacement cost, including labor, administrative time, and downtime.
B5. Insurance & Assumption of Risk
Metrognome provides no insurance for Hourly Members.
Members assume all risk for personal property, bodily injury, guests, and conduct.
B6. Storage & Abandoned Property
- No storage permitted
- Items left behind may be held 48–72 hours
- Thereafter deemed abandoned
B7. Guests & Cleanup
Booking Members are responsible for all guests.
Members must:
- Leave studios clean
- Return equipment to original positions and settings
- Comply with all rules
B8. Payments & Cancellations
- Payment due at booking
- Cancel 24+ hours in advance for a full refund
- <24 hours or no-show: no refund
- Extenuating circumstances reviewed case-by-case
B9. Credits (Promotional — Not Gift Cards)
Nature of Credits
Credits are promotional booking credits, not gift cards, cash, stored value, or prepaid instruments.
Use
- Redeemable only for eligible hourly bookings
- Cannot be used for Monthly Membership fees unless permitted
Value & Expiration
- Current discount: 10%
- 1 Credit will never exceed $1.00 in value
- Credits expire 18 months after purchase
Restrictions
- No cash value
- Non-transferable
- Non-refundable
Metrognome may modify or discontinue the Credits program at any time.
B10. Enforcement
Metrognome may restrict or terminate Hourly access, Credits use, or accounts at its discretion.
Exhibit A: Equipment Insurance — provided by Safestor
(Available to Monthly Members only)
Member Acknowledgement Addendum
You, the Primary Member, by becoming a subscriber, is responsible to have coverage for all stored property on the premises. The Primary Member understands that Metrognome, its successors, assigns, affiliates and employees, including but not limited to the entity that owns the physical building, do not insure any of the items, goods or property owned, controlled or in the possession of the Primary Member and are not responsible for damage or loss under any circumstance.
Primary Member confirms that this Facility and/or Metrognome has recommended that the Primary Member provides proof of insurance coverage or immediately obtains coverage for property stored by the Primary Member. Primary Member confirms that Safestor Insurance has been offered.
Primary Member understands that it must either:
1. Cover stored items with Safestor Insurance with one of the coverage limited selections below:
$1,000 Coverage
$0 Deductible / $8.95 per month
$5,000 Coverage
$0 Deductible / $11.95 per month
$10,000 Coverage
$0 Deductible / $21.95 per month
$15,000 Coverage
$0 Deductible / $36.95 per month
- Primary Member understands that coverage is effective immediately at time of payment.
- Primary Member understands that the monthly rate to cover its stored goods is being collected by Metrognome and forwarded to the insurer as a courtesy.
- Primary Member understands that the Facility (Metrognome) is not responsible for paying its monthly premium if it fails to make payments.
- Primary Member understands that the Facility may retain a portion of the monthly insurance premium payment to cover the administration of the policy.
- Primary Member understands that the insurance fee will be added to its online account and payable at checkout when becoming a subscriber of this agreement.
2. Decline participation in Safestor Insurance:
- Primary Member understands that the Facility (Metrognome) is not responsible for loss or damage to my stored goods and agrees to hold this storage facility harmless.
*Flood and Rising Water are not covered. Please see the Safestor brochure for full exclusions. This enrollment form contains only a general description of coverage and does not constitute an insurance contract. The facility will provide you a Certificate of Insurance
